Terms of Service

1. Agreement to Terms

By accessing our website at oneagentco.com or using our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

OneAgentCo ("we," "us," or "our") provides AI employee setup, deployment, hosting, and management services built on the OpenClaw AI agent runtime. Our services include:

  • Custom AI employee configuration and deployment
  • Dedicated server hosting and infrastructure
  • 24/7 uptime monitoring and incident response
  • Automated daily backups
  • Monthly improvement and optimization cycles
  • Tool and API integrations

3. Pricing and Payment

3.1 Fees

Our standard pricing is:

  • Setup fee: $1,500 USD one-time per AI employee
  • Monthly management: $400 USD per month per AI employee

Enterprise and multi-agent pricing is available upon request. All prices are in US Dollars unless otherwise stated.

3.2 Payment Terms

The setup fee is due before work begins. Monthly management fees are billed at the start of each billing cycle. Payment is due within 14 days of invoice date unless otherwise agreed in writing.

3.3 Late Payment

If payment is not received within 30 days of the due date, we reserve the right to suspend services until payment is made. We will provide at least 7 days' notice before any suspension.

4. Cancellation and Refunds

4.1 Cancellation

You may cancel your monthly management service at any time with 30 days' written notice. There are no cancellation fees or penalties. When you cancel:

  • You retain full ownership of all configurations, scripts, and files
  • We will provide a complete export of your system
  • Your server will remain active until the end of the current billing period

4.2 Refunds

Setup fees are non-refundable once work has begun. Monthly fees are non-refundable for the current billing period but no further charges will be applied after cancellation.

5. Intellectual Property

5.1 Client Ownership

You own all configurations, customizations, data, and outputs created specifically for your AI employee. This includes:

  • Custom configuration files and scripts
  • AI persona definitions and decision frameworks
  • API integrations built for your workflows
  • All data generated by or stored within your AI employee

5.2 OneAgentCo IP

We retain ownership of our proprietary methodologies, templates, general-purpose tools, and the OpenClaw platform itself. We grant you a license to use these as part of our service during the term of your subscription.

6. Data and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you acknowledge that:

  • Your AI employee runs on an isolated dedicated server
  • We do not share your data with other clients
  • All data is encrypted at rest and in transit
  • We implement least-privilege access controls
  • Daily automated backups are performed

7. Acceptable Use

You agree not to use our services to:

  • Violate any applicable law or regulation
  • Send spam or unsolicited communications
  • Engage in fraudulent or deceptive practices
  • Distribute malware or harmful code
  • Infringe on intellectual property rights of others
  • Harass, abuse, or harm other individuals
  • Attempt to gain unauthorized access to systems or data

We reserve the right to suspend or terminate services if we reasonably believe these terms are being violated, after providing notice and an opportunity to cure where practicable.

8. Service Level

We strive to maintain 99.9% uptime for all hosted AI employees. While we do not guarantee specific uptime percentages under standard plans, enterprise clients may negotiate formal Service Level Agreements (SLAs) with defined uptime commitments and remedies.

We provide 24/7 monitoring and will make commercially reasonable efforts to resolve any service interruptions promptly.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • OneAgentCo shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim
  • We are not liable for actions taken autonomously by AI employees, though we implement safeguards and controls to minimize risk
  • We are not liable for losses resulting from third-party service outages (API providers, cloud platforms, etc.)

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI employee outputs will be error-free or meet specific business outcomes.

11. Indemnification

You agree to indemnify and hold harmless OneAgentCo, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services or violation of these Terms.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of any material changes via email to active clients. Continued use of our services after the effective date of changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OneAgentCo operates, without regard to conflict of law principles.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
